Jeff is
Of Counsel to Stafford Frey Cooper. For twenty-eight years,
Jeff's practice has been focused on representing individuals,
professionals and closely-held companies in business matters. Jeff
has focused on advising clients on the choice of entities-- the
formation of, for example, Corporations ("S" & "C" types),
Professional Service Corporations ("PS"), Limited Liability
Companies ("LLC"), Professional Limited Liability Companies
("PLLC"), General Partnerships and Limited Liability Partnerships
("LLP"). Jeff also engages in "tax-wise" strategic
analysis and planning, operations issues including business transactions,
and drafting contracts and agreements. Jeff also provides estate
planning and probate services to his clients.
Jeff's practice focuses on an involved individual approach
to the client's needs that is value driven. He enjoys consulting
with and helping his clients achieve their objectives.
Jeff presently represents over two hundred (200) closely-held businesses and a number of individuals. He has the experience
and expertise to represent clients on a wide range of operating
issues. Because Jeff represents a significant number of medical and legal professionals,
he also has the experience to counsel clients on a wide range
of specific issues arising in a professional organization. He
also works with the Washington State Bar Association's Law Office
Management Assistance Program (LOMAP) counseling lawyers on selecting
the proper form of entity, explaining the tax ramifications of
the entity choice, and forming entities for lawyers and law firms. Education
